CORTE MADERA, Calif., Jan. 24 /PRNewswire-FirstCall/ -- Restoration Hardware, Inc. (NASDAQ: RSTO) today announced that it has entered into an amendment to its previously announced merger agreement with certain affiliates of Catterton Partners. Under the terms of the amended merger agreement, all of the outstanding shares of Restoration Hardware, other than those exchanged by certain stockholders participating with Catterton Partners in the transaction, will be acquired for a price per share equal to $4.50 in cash. The $4.50 per share cash consideration represents a 68% premium to the closing price of Restoration Hardware common stock on November 7, 2007, the last trading day prior to the initial announcement of the original merger agreement. The total equity value of the transaction is approximately $179 million.

Financial services, a growth industry for the local economy in recent years, has been cutting staff at a faster rate this year as the upheaval in the mortgage-lending sector continues. On top of cuts inflicted at mortgage banks and brokerages, the student loan industry is cutting staff in reaction to changes in the federal subsidies granted to private lenders. Through the end of September, 1,500 jobs have been pared from the payrolls of San Diego financial services employers over the previous 12 months, according to the most recent report from the state Employment Development Department. Most are related to the national slowdown in the housing market. For example, Accredited Home Lenders Holding Co. cut about three-fourths of its staff starting this year, to 1,000 from 4,000 at the end of last year.

Buyers, sellers and other market participants typically monitor fluctuating home values through sale records that legally have to be listed with county clerks. But incentives offered to buyers -- ranging from free cars or furniture to cash rebates -- are making those prices less reliable as a sign of what buyers actually paid, netting out the giveaways.
